END USER LICENSE AGREEMENT (EULA)

This End User License Agreement ("Agreement") is a legal agreement between you (the "Licensee") and [Licensor Company Name] (the "Licensor") governing your use of the MonitGlass software (the "Software"). By installing, accessing, or using the Software, you agree to be bound by the terms of this Agreement.
1. Grant of License
1.1 The Licensor grants the Licensee a non-exclusive, non-transferable, and non-sublicensable license to use the MonitGlass Software in a cloud computing environment, strictly for the Licensee's internal business purposes.
1.2 One license permits access to the Software by one Licensee. The Software may only be used within the territory of the United States of America.
1.3 The Licensee may use the Software for an indefinite period, subject to compliance with this Agreement.
2. Restrictions
2.1 The Licensee shall not:

Modify, adapt, translate, reverse engineer, decompile, or disassemble the Software;

Make the Software or any part of it publicly available or share it with third parties;

Use the Software outside the scope of this Agreement.
2.2 The Licensee may not provide access to the Software to any third parties or entities not explicitly authorized under this Agreement.
2.3 The Licensee is prohibited from distributing, leasing, renting, sublicensing, or otherwise making the Software available to third parties.
3. Intellectual Property
3.1 The Software and all related intellectual property rights are and shall remain the exclusive property of the Licensor.
3.2 The Software source code is proprietary and not publicly available. Licensee shall not disclose, publish, or share the source code in any form.
3.3 The Licensee shall maintain visible attribution to MonitGlass, including the Software name, trademark, and a link to www.monitglass.pl, in any deployment or usage context.
4. Updates and Upgrades
4.1 The license includes the right to receive updates provided by the Licensor after the Agreement has been concluded.
4.2 If the Licensor provides an upgraded version of the Software (including bug fixes or new features) under a separate agreement, this Agreement shall apply equally to the upgraded version unless otherwise agreed in writing.
5. Audit Rights
5.1 The Licensor reserves the right to audit the Licensee's use of the Software to ensure compliance with this Agreement.
6. Termination
6.1 This Agreement is effective until terminated. The Licensor may terminate this Agreement immediately if the Licensee breaches any provision.
6.2 Upon termination, the Licensee shall cease all use of the Software and destroy any copies in its possession.
7. Limitation of Liability
7.1 The Software is provided "as is" without warranty of any kind. The Licensor shall not be liable for any damages arising from the use or inability to use the Software.
8. Governing Law
8.1 This Agreement shall be governed by and construed in accordance with the laws of [Applicable Jurisdiction], without regard to conflict of laws principles.
9. Privacy Policy
9.1 The Licensee acknowledges and agrees to the Licensor’s Privacy Policy, available at https://monitglass.pl/privacy-policy. This policy governs the collection, processing, and use of personal data in connection with the Software.
10. Entire Agreement
10.1 This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings.
By using the Software, you confirm that you have read, understood, and agree to be bound by the terms of this End User License Agreement.
